China YouTV's JV Partner Explores Innovative Financing Opportunities in China

BEIJING, CHINA--(Marketwire - Jan. 30, 2008)

China YouTV Corp. (OTCBB:CYTV), a publicly traded company that provides online video viewing services through its CnBoo website in China, reports that its Chinese Joint Venture Partner, HuaJu has entered into a strategic partnership with Cai Hua Media AD Ltd.(Cai Hua) to explore innovative financing opportunities.

Cai Hua is mainly engaged in the design, organization and distribution of advertisements in China. As an emerging high-tech enterprise, Cai Hua has introduced state-of-the-art LED technology which is increasing in popularity, particularly in outdoor advertising in major cities such as Beijing and Shanghai, China.

Per the agreement, Cai Hua authorized HuaJu to use all LED Screens located in central regions of Hangzhou, Wuhan and Shanghai to broadcast advertisements at a wholesale price of 1.2 RMB per second and total advertisement broadcasting time of 12 hours per day from January 1, 2008 to December 31, 2008. According to the marketing analysis, HuaJu has made a quotation of 4 RMB per second on average to re-sell the time slot to other customers. It is projected that HuaJu's brand awareness and exclusive resources will bring substantial customers to ensure the profitability of this advertising sales contract arrangement.

China YouTV's goal is to make CnBoo the leading online site in China. CnBoo has worked hard to develop the CnBoo website, providing the service for free and making some revenue from advertising. When the website achieves the height of its popularity, China YouTV will consider charging netizens for some services. In the interim, the Company is seeking financing to support the implementation and continuous development of the website. This agreement is one way for HuaJu to keep the Company operational and reach its goals.

ITEM 2. MANAGEMENT'S DISCUSSION AND ANALYSIS OR PLAN OF OPERATION

Plan of Operation

We are a start-up, development stage company and have not yet generated or realized any revenues from our business activities. We were incorporated in the State of Nevada on May 18, 2005. Initially, we acquired the right to conduct exploration activities on one property, but we did not own the property. The property consists of one mineral claim containing 622 acres located in the Similkameen region of British Columbia, Canada. We had intended to explore for gold on the property. We haven't found any commercially viable mineral deposit, or a reserve, yet. We do not plan to have further exploration on this property.

On March 16, 2007, we signed a Definitive Agreement with HuaJu NetMedia to set up a Joint Venture in China and set foot in the Chinese Internet video sharing field. The formation of the Joint Venture is in process. According to the Agreement, we own 51% of the Joint Venture company and will provide the required working capital for the Joint Venture. HuaJu will be in charge of the daily operation of the Joint Venture. HuaJu has agreed to conduct its video sharing business only through the Joint Venture, and has agreed to contribute its web site, www.CnBoo.com and customer contracts to the Joint Venture.

Our auditors have issued a going concern opinion. This means that there is substantial doubt that we can continue as an on-going business for the next twelve months unless we obtain additional capital to pay our bills. We must raise cash from sources other than revenue from the Joint Venture operations. Our only other source for cash at this time is investment by related parties and others. The cash we raise may allow us to stay in business for at least one year. If able to attract sufficient capital, our success or failure will be determined by whether the Joint Ventures will be able to coordinate their activities and work together to provide integrated services to our customers.

Our officers and directors are unwilling to make any additional commitment to loan us any money at this time. At the present time, we have not made any arrangements to raise additional cash. If we need additional cash and can't raise it, we will either have to suspend activities until we do raise the cash, or cease activities entirely or look for other opportunities. Other than as described in the preceding paragraphs, we have no other financing plans.

HuaJu has launched a video site of CCTV's TV program "Exploring High and Low" and value-added travel services with ManGocity.com to satisfy different needs of travel enthusiasts. HuaJu also engages in online resource exchange with Beijing TaiDe Interactive Technology Co. Ltd to provide video sharing contents and an agreement with Youyi Chunqiu Network Technology Ltd. Co to promote online game "Pick" on CnBoo. A Music Channel has also been added to showcase the talents of Chinese artists.

CYTV has enterted into a number of revenue-based agreements including a contract signed with 21 Century Network Co. intended to share the revenue generated from "Special DV Shorts" channel on Vnet; an agreement with TianWeiYuanChuang Co. to share the revenue generated from online advertising; and a long-term collaboration with Shanghai Vekee Advertising Co, Ltd. to distribute advertisements on CnBoo.

Off-line: HuaJu has signed several agreements to promote its 3G space cards, such as the agreement with Gome Electrical Appliances Holding Ltd., the largest chain store operator of electrical appliances in China to distribute its 3G digital space cards to Gome customers; an agreement with HURRAY, a NASDAQ listed company, for the launch of 3G experience terminals in Gome's stores; an agreement with ManGoCity, and a promotion agreement with Z-Card. HuaJu also has exclusive right from AIDS Prevention Education Project for Chinese Youth to negotiate with investors to install LED displays in the colleges and universities across China. All LEDs will have HuaJu and CnBoo's logo on it.

Liquidity and Capital Resources

The Company had cash capital of $31,558 at December 31, 2007. The Company has no other capital resources other than the ability to use its common stock achieve additional capital raising. Other than cash capital, its other assets would be illiquid.

As of December 31, 2007, it had $37,480 in current assets, consisting of $31,558 cash and $5,922 prepaid expenses, and current liabilities of $188,795, consisting of $43,711 accounts payable and accrued expenses and $145,084 due to related party.

As of December 31, 2007, our total assets were $37,480 and our total liabilities were $188,795.

We have no long-term debt as of December 31, 2007.

China YouTV JV Partner Signs Agreement to Host "Video Creativity Competition" on CnBoo

BEIJING, CHINA--(Marketwire - Feb. 25, 2008)

China YouTV Corp. (OTCBB:CYTV), a publicly traded company that provides online video viewing services through its CnBoo web site in China, reports that its Chinese Joint Venture Partners HuaJu and Hangzhou Julian Technology Co., Ltd. (Julian) have signed an agreement to jointly host a Video Creativity Competition on CnBoo.

The contest began on January 7, 2008 and will last for eight weeks. According to the contract, HuaJu will provide technical support and launch a dedicated channel on CnBoo for the contest. All candidates can join the competition and upload their video to CnBoo. Total prizes of RMB9,000 (approximately US$1,300) will be provided by Julian.

According to data from video contest clearinghouse VidOpp.com, 192 video contests with cash prizes were featured on variety sites in 2007, with prizes totalling $1,095,425. Video contests may be held for any number of reasons - to encourage brand loyalty, to create new viral video sensations, or to leverage "crowd-sourcing" for new entertainment concepts - but one thing is certain: video contests are on the rise.

Big brands such as Home Depot, LG Electronics and Sony have been getting into the act and have been successful in promoting related projects or increasing recognition and interest from customers. HuaJu is following this trend to increase membership and raise awareness of CnBoo.

China YouTv JV Partner Signs Agreement to Jointly Promote '2007 MusicRadio' Through CnBoo

BEIJING, CHINA--(MARKET WIRE)--Mar 12, 2008 -- China YouTV Corp. (OTC BB:CYTV.OB - News), a publicly traded company that provides online video viewing services through its CnBoo web site in China, reports that its Chinese Joint Venture Partner HuaJu has signed an agreement with Beijing Global Qifu Advertising Company to jointly promote "Mengniu Suansuanru 2007 MusicRadio", the national music awards ceremony held by China national radio, on www.cnboo.com.

Per the agreement, HuaJu will provide technical services and launch a designated video webzone which will include all of the videos, pictures, posters, and photos for the event. Meanwhile, the HuaJu Net logo will be showcased on the event's exclusive official site and in related promotional materials such as posters, magazine ads, ceremony tickets, newspaper ads, etc.

China YouTV's JV Partner Signs Agreements with IT Company to Increase Online Information Content

Ltd. (Zhide) to exchange online video resources.

According to the agreement, Zhide will provide CnBoo with video service and products as well as video resources. All of these resources have legal copyrights and other related legal rights for license and use. CnBoo will upload these resources onto its website at www.cnboo.com to be accessed, shared and distributed by users. CnBoo will also offer related technical supports and maintenance for its users.
